1. WHAT IT IS. Kewpie gives you the chance to win a virtual cooking session with Stephvnie Tea to make the chef’s selected recipe using Kewpie products “together.”

2. SPONSOR. The Sponsor of the Kewpie Cook-Along with Stephvnie Tea Sweepstakes (the “Sweepstakes”) is Q&B Foods, Inc., 15547 First Street Irwindale, CA 91706 (“Sponsor”).

3. ENTRY PERIOD. The Sweepstakes begins on July 29, 2024 at 12:00:01 a.m. Pacific Time (“PT”) and ends on August 11, 2024 at 11:59:59 p.m. PT (the “Entry Period”). Pacific Time means the local time in Los Angeles, California on the specified date. The Sponsor’s computer system is the official timekeeping device with respect to all matters relating to the Sweepstakes.

4. ELIGIBILITY. Sweepstakes is open to current legal residents of the 48 contiguous United States (excluding Alaska, Hawaii, military bases overseas, Puerto Rico, and US Territories) who, at the time of Entry, are at least 18 years old (or have reached the age of majority in their jurisdiction of residence, where different), and are physically located in the US. The Sweepstakes is void where prohibited by law, and is subject to all applicable federal, state, municipal, and local laws and regulations. Employees, officers, directors, agents, representatives of Sponsor or of any of its parent companies, subsidiaries, affiliates, promotion partners, participating chef(s), sales representatives, retailers, advertising and promotion agencies, and any others engaged in the development, production, execution or distribution of this Sweepstakes (the “Sweepstakes Entities”) and their immediate family members and those living in their household, whether or not related, are not eligible. Immediate family members include spouse, parent, child, sibling, including stepparents, children, siblings, half siblings, and all their respective spouses, regardless of where they reside.

5. HOW TO ENTER. During the Entry Period, navigate to www.kewpieshop.com/stephvnietea and provide your email address and other requested information. Upon successful completion of the entry form, you will be given confirmation on-screen and/or sent confirmation of successful entry by email. By providing an email address, you consent to receive email messages from Sponsor regarding the Sweepstakes at that email address. Entrants are responsible for assuring that their information is correct and Sponsor has no responsibility if Sweepstakes communications or Prizes are not received.

6. ENTRY LIMIT. Limit one (1) Entry per household.

7. AGREEMENT TO RULES AND INDEMNITY: Each person who submits or attempts to submit an Entry in the Sweepstakes is considered an Entrant and by participating in the Sweepstakes agrees to comply with and abide by these Kewpie Cook-Along Sweepstakes Official Rules (“Official Rules”) and the decisions of the Sponsor, and represents and warrants that Entrant meets the eligibility requirements. In addition, Entrant agrees to accept the Sponsor’s decisions as final and binding as it relates to the conduct of Sweepstakes and to indemnify the Released Parties (as defined below) for the Entrant’s conduct in connection with the Sweepstakes.

8. SELECTION AND NOTIFICATION OF WINNERS. After the end of the Entry Period, on or about August 12, 2024, one (1) Entry will be selected at random from among all valid and eligible Entries received during the Entry Period. Sponsor will notify the Entrant selected at the email address used to enter the Sweepstakes. The Selected Entrant must respond (as directed) and fulfill any additional requirements contained in the winner notification message, including signing and returning an Affidavit of Eligibility, and Liability and Publicity Release (“Release”), if any, within 72 hours of attempted notification. Upon satisfaction of these requirements, the Selected Entrant will be declared the official Winner. In the event that Sponsor is unable to contact the Selected Entrant, or the Selected Entrant does not comply with all requirements in the winner notification message within the timeframe stated, Sponsor will disqualify the Selected Entrant and randomly select an alternate Selected Entrant from among all remaining eligible Entries. Any alternate Selected Entrant must comply with all the requirements of this paragraph and winner notification message, in the same timeframe, as if s/he had been selected as the original Selected Entrant or be disqualified in the manner set forth in this paragraph.

9. OFFICIAL PRIZES. One (1) Prize will be awarded. The Prize consists of a one-hour virtual cooking session with Stephvnie Tea, along with a supply box containing the ingredients necessary to cook the chef’s selected recipe. Approximate Retail Value of each Prize is $250.00. No cash or other prize substitution shall be permitted except at the Sponsor’s discretion. Prize is non-transferable. Substitution of a Prize or transfer/assignment of a Prize to others or request for the cash equivalent of a Prize by Winner is not permitted. Any and all Prize-related expenses, including without limitation any and all federal, state, municipal, and/or local taxes shall be the sole responsibility of the Winner. Prizes that cannot be delivered will not be awarded.

10. PRIZE CONDITIONS. Virtual cooking session will take place on a mutually agreed upon date and time between Winner and chef, between September 1, 2024 and December 1, 2024. Winner must provide a physical delivery address for receipt of supply box and Internet connectivity for virtual cooking session. Sponsor is not responsible for any lost, stolen, late, misdirected, damaged or incomplete supply box delivery, or connectivity difficulties such as the inaccessibility of any transmissions, telephone, Internet service or website, app or platform, malfunction of any computer, cable, network, hardware, software, or other mechanical equipment or other technical error/unauthorized intervention.

11. ODDS. The odds of winning a Prize depend on the total number of eligible Entries received.

12. PUBLICITY. Sponsor reserves the right to use the Sweepstakes for publicity purposes in any media, and by accepting an Official Prize, each Winner grants permission for Sponsor and the Sweepstakes Entities and their respective licensees, successors, and assigns, the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, their name, portrait, picture, video, voice, likeness, image, statements about the Sweepstakes, and biographical information for all legal purposes including announcements on Sponsor’s and Sweepstakes Entities’ social media and web pages, without additional compensation, notification, review, consent or permission, and consents to execute any document as Sponsor may reasonably believe is necessary to effectuate this grant of permission.

13. DISQUALIFICATION AND GENERAL PROVISIONS: The Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes should any virus, bug, non-authorized human intervention, fraud, or other cause beyond the Sponsor’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes, or due to the requirements of any platform(s) through which the Sweepstakes operates or Entries are received. In such case, the Sponsor may select Winner(s) from eligible, non-suspect Entries received before and/or after the action taken by the Sponsor, if appropriate. Sponsor reserves the right in its sole discretion to void Entries and/or permanently disqualify from this Sweepstakes any person it believes has violated these Official Rules, is not eligible to participate, who has provided false information, has or intends to act in a harassing or unsportsmanlike manner with respect to Sponsor, any Sweepstakes Entity, or any Entrant, or tampered with the operation of the Sweepstakes, including by hacking, attempting to participate via multiple accounts, using any bot or other automatic means to affect participation in or operation of the Sweepstakes, or to otherwise undermine the legitimate operation of the Sweepstakes. Sponsor’s decisions as to all issues, including eligibility/disqualification, shall be final. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. If any provision of these Official Rules is deemed to be invalid or unenforceable, in whole or in part, such provision will be deemed to be modified or restricted to the extent and in the manner necessary to render the same valid and enforceable and these Official Rules will be construed and enforced to the maximum extent permitted by law as if such provision had been originally incorporated herein as so modified or restricted, or as if such provision had not been originally incorporated herein, as the case may be. In the event of any dispute as to the identity of any Entrant, the natural person to whom the email address used to Enter, by the Internet Service Provider who has assigned the email address, shall be deemed the Entrant and must comply with all the requirements of these Official Rules.

14. LIMITATIONS OF LIABILITY AND RELEASES: Sweepstakes is subject to these Official Rules. Sponsor and Sweepstakes Entities shall have no, and by participating in the Sweepstakes, each Entrant agrees to release and hold harmless the Sponsor, Sweepstakes Entities and any of their attorneys, representatives, agents, successors, assigns, employees, officers and directors (the “Released Parties”) for and from, any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Entrant’s participation in the Sweepstakes, submission of an Entry, the content of the Entry, and/or his/her acceptance, possession, use, or misuse of any Prize or any portion thereof; (ii) data corruption, theft, destruction, unauthorized access to or alteration of Entry or other materials related to the Sweepstakes, or any other unauthorized human intervention in any part of the Sweepstakes; (iii) electronic or human error in the administration of the Sweepstakes, the processing of Entries or announcement of Winners; (iv) technical errors of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, software, or other mechanical equipment; (v) the unavailability or inaccessibility of any transmissions, telephone, Internet service or website, app or platform; (vi) printing errors; or (viii) lost, late, misdirected, stolen, incomplete or garbled electronic communications, mail or Prize delivery. All decisions of Sponsor are final and binding; and Entrants agree to waive any right to claim ambiguity in the Sweepstakes or these Official Rules, except where prohibited by law.

15. DISPUTES. By entering this Sweepstakes, Entrants agree that: any action arising out of or relating to this Sweepstakes or these Official Rules shall be resolved individually and exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) and conducted before a single arbitrator, all pursuant to the AAA Commercial Arbitration Rules. The arbitration shall be held at a location in the state in which you live. ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANYTHING AWARDED IN CONNECTION WITH THE SWEEPSTAKES, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY RIGHT TO A TRIAL BY JURY IS HEREBY WAIVED. Notwithstanding anything to the contrary in these Official Rules, if the amount in dispute arising out of or relating to this Sweepstakes or these Official Rules is less than the jurisdictional maximum of a small claims court applicable in the state in which the Entrant lives, Entrant may bring an action in such small claims court for such dispute, which will be in lieu of arbitration or an action in any other court. All claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, but in no event shall attorneys’ fees be awarded; and Entrants waive all rights to claim punitive, incidental, consequential and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, participants’ rights, and obligations, and the rights and obligations of Sponsor or any Sweepstakes Entity shall be governed by and construed in accordance with, the laws of the State of California.

16. PRIVACY. All Personal Information collected by Sponsor is governed by the terms of the Sponsor’s Privacy Policy, which is located at https://www.kewpieshop.com/pages/privacy-policy. In addition, Entrants may subsequently opt-out of receiving marketing e-mails from Sponsor by following the opt-out instructions contained in any such e-mail.

17. OFFICIAL RULES AND WINNERS LIST. For a copy of these Official Rules or a winners list, send your request with a self-addressed, stamped envelope (WA and VT residents need not affix return postage) to: Kewpie Cook-Along Sweepstakes Winner’s List, 15547 First Street Irwindale, CA. 91706. Requests must be received by August 31, 2024.
